Price Fusion Referral Programme: Terms of Service
Version: 21 October 2026
These terms govern the Price Fusion Referral Programme (the “Programme”) operated by Price Fusion AI Ltd ("Price Fusion", "we", "us"). By accepting these terms when joining the Programme, you agree to them on your own behalf or on behalf of the business you represent (“you”, the “Partner”). You must be at least 18 and authorised to enter into this agreement.
1. The commercial offer
You may earn commission equal to 20% of Eligible Subscription Revenue for the first 12 months of a qualifying merchant’s paid subscription to Price Fusion’s Growth or Enterprise tier (the “initial commission period”), and 5% of Eligible Subscription Revenue after that, subject to these terms. The initial commission period begins when the merchant’s first chargeable subscription period starts, after applicable trial and introductory free periods. Commission is earned only when the corresponding payment is successfully collected.
Free-tier registrations, free trials and free promotional periods do not themselves earn commission. In these terms, the “commission period” means the initial commission period followed by the period after it in which commission is payable at 5%, which continues for as long as the merchant pays for an eligible subscription.
2. Joining and making referrals
2.1 You must register for the Programme, accept these terms and maintain accurate contact, tax and payment information. Participation is subject to our acceptance, which may be confirmed through the partner portal.
2.2 Refer merchants using your unique referral link or code, or another referral method we approve in writing. A referral must be recorded against you when the merchant first creates its Price Fusion account, unless we accept a documented correction under clause 2.4. A merchant must be new to Price Fusion; existing or previously registered accounts are excluded unless we approve the referral in writing before the upgrade. Before Price Fusion is available on a merchant’s platform, joining the Price Fusion waitlist through your referral link and confirming the email address counts as the merchant’s registration for these terms.
2.3 Only one Partner may receive commission for a merchant. Unless we have accepted a registered introduction in writing, attribution follows the valid referral recorded against the merchant at initial registration. Any link-tracking or cookie window disclosed in the portal governs attribution before registration; it does not shorten the upgrade window in clause 3 once a referral has been recorded. Subsequent links, reinstallations or account changes do not restart eligibility or transfer an existing referral.
2.4 If a referral is missing or incorrectly attributed, contact us promptly through the Programme contact channel in the partner portal, providing evidence of the introduction. We will review relevant registration, tracking and correspondence records reasonably and in good faith. A link click alone does not establish entitlement to commission.
2.5 Self-referrals and referrals of businesses you own or control, or which own or control your business, are excluded unless agreed in writing. You may refer independent clients you advise or support, provided you disclose your financial interest and comply with their policies. Duplicate or artificial accounts, fabricated transactions and attempts to obtain multiple rewards for the same subscription are not eligible.
3. Referral eligibility and upgrades
3.1 A referred merchant may initially join the free tier. To qualify for commission, it must activate a Growth or Enterprise subscription within 12 months of its original referred Price Fusion account registration. Activation means accepting the applicable subscription and billing terms and completing any required billing authorisation; selecting a plan or accessing trial features alone is insufficient.
3.2 Where activation occurs within that window, an applicable trial or introductory free period may finish afterwards. Commission begins only on revenue from the subsequent chargeable subscription period, once payment is collected. If the merchant does not activate an eligible subscription within the window, the referral expires and no commission is payable on a later upgrade. Re-registration, cancellation or a new referral link does not reset the deadline.
4. Trials and the referred-merchant offer
4.1 Under the standard referred-merchant offer, an eligible merchant receives a 45-day free trial of the Growth tier in place of the standard 14-day trial, as shown in its subscription offer. No commission accrues during the trial. For a merchant starting the offer immediately on registration, the first charge will ordinarily fall when the trial ends, about 45 days after starting. The actual billing dates govern; 45 days is not a fixed payment or commission guarantee.
4.2 A merchant remaining on the free tier may start its eligible subscription later, subject to clause 3. Free-tier usage does not start the commission period. The merchant offer applies once per merchant and cannot be combined with other introductory offers unless we agree otherwise in writing.
4.3 If a merchant cancels before any chargeable subscription revenue is collected, no commission is earned. Additional free access or credits agreed with a merchant do not create commission on amounts it does not pay.
5. Commission calculation
5.1 “Eligible Subscription Revenue” means subscription fees successfully collected from the referred merchant, directly or through an authorised billing platform such as Shopify, for Growth or Enterprise service falling within the commission period. It excludes VAT and other sales taxes, discounts, credits, refunds, chargebacks and amounts not paid. Routine payment-processing and app-platform fees are not deducted from this calculation.
5.2 Implementation, consultancy, training, bespoke development, standalone add-ons, usage charges outside the tier subscription, OEM or API agreements and other non-subscription charges are excluded unless we agree otherwise in writing.
5.3 Commission is calculated on the actual eligible fees paid, rather than list prices or projected contract value. Upgrades, downgrades between eligible tiers and subscription price changes adjust commission accordingly without restarting the commission period.
5.4 Monthly payments earn commission as they are collected. Annual or other prepaid subscriptions earn commission on the collected amount attributable to service within the commission period. Amounts covering service outside that period are excluded and apportioned by service duration where necessary. Where a prepaid amount covers service both inside and after the initial commission period, each part earns commission at the rate for that part. Annual billing does not create a second commission entitlement when the same revenue is recognised monthly.
5.5 If a merchant cancels, pauses, fails to pay or moves to the free tier, no commission accrues on unpaid or free service. If it resumes an eligible paid subscription within its original commission period, commission may resume for the remaining period. Interruptions do not pause, extend or restart that period. Amounts collected later for chargeable service within the original period remain eligible, subject to these terms.
6. Payments and adjustments
6.1 Commission is accounted for in GBP, with no minimum payout threshold. Payments are made using a supported payout method available through our referral platform, Tolt, as shown in the partner portal. Available methods may vary by country and payment-provider requirements and may change over time. You must select an available method and provide the details needed to receive payment. For revenue collected in another currency, we use the GBP conversion recorded by the relevant billing or referral platform for that transaction and make the calculation available on request.
6.2 Payments operate on a monthly NET-15 schedule: we initiate payment of valid commission by the 15th day after the end of the calendar month in which the underlying payment was collected. If that date is not a UK business day, payment is initiated on the next UK business day. Receipt may take longer because of payment-provider processing.
6.3 You must supply a valid supported payment account and any reasonably required identity, tax or invoice information. Missing information may delay payment until resolved. You are responsible for taxes on your commission and any receiving or currency-conversion charges imposed by your payment provider. Commission is exclusive of any VAT properly chargeable by you, which we will pay against a valid VAT invoice. We may make legally required withholding deductions.
6.4 Refunds, chargebacks, duplicate payments or calculation errors may reduce or reverse the related commission. We may offset an overpayment against future commission or request repayment within 30 days of an explanation and supporting calculation. We will not recover more than the commission attributable to the affected amount.
6.5 We may temporarily hold a disputed commission while reasonably investigating suspected fraud, attribution errors or payment reversals. We will explain the reason where legally permitted, resolve the matter promptly and continue paying unrelated, undisputed commission. Portal estimates are provisional until reconciled to actual collections.
6.6 Raise any commission query promptly, preferably within 60 days of the relevant statement or payment, with supporting details. We will review the records reasonably and correct verified errors. This request does not remove any non-excludable legal rights.
7. Promotion and conduct
You must describe Price Fusion and the Programme accurately, clearly disclose that you may receive referral commission, and comply with applicable advertising, privacy, anti-spam and anti-bribery requirements. Share personal information only where you have a lawful basis to do so.
You must not impersonate Price Fusion, promise unauthorised discounts or results, manipulate referral tracking, use cookie stuffing, send unlawful unsolicited marketing, or bid on Price Fusion brand search terms without written permission. Use approved branding only to promote the Programme and stop using it when your participation ends. You bear your own promotional costs unless we agree otherwise in advance.
8. Changes and termination
8.1 Either party may end participation on 30 days’ written notice. We may suspend participation immediately to investigate suspected abuse and terminate immediately for fraud, unlawful conduct or a serious breach that cannot be remedied. For other material breaches, we will allow 14 days after notice to remedy the breach.
8.2 We may amend or close the Programme on at least 30 days’ notice by email or the partner portal. Changes apply prospectively. For referrals already validly recorded, the existing commission rate, upgrade window and commission period remain protected. A necessary legal change may take effect sooner to the extent required by law.
8.3 On ordinary termination or Programme closure, no new referrals are accepted, but previously recorded valid referrals retain their remaining upgrade window and commission entitlement under these terms. Accrued valid commission remains payable. We may reject or reverse commission resulting from fraud or breach; unrelated, legitimately earned commission is not automatically forfeited.
9. General terms
9.1 You are an independent referral partner. This agreement creates no employment, agency, legal partnership, exclusivity or authority to bind Price Fusion. Merchant subscriptions are governed by the merchant’s separate agreement with Price Fusion. We do not guarantee any number of referrals, conversions or earnings.
9.2 Each party must protect the other’s confidential, non-public information and use it only to administer this Programme, except where disclosure is legally required. Merchant information available through the portal must be used only for legitimate Programme purposes.
9.3 Neither party is liable to the other for indirect or consequential loss. Neither party excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded. This clause does not limit our obligation to pay valid commission or your obligation to repay a valid commission overpayment.
9.4 These terms form the agreement for the Programme, subject to any separate written commercial terms expressly agreed with you. A conflicting portal estimate or marketing statement does not amend them. If a provision is unenforceable, the remaining provisions continue to apply.
9.5 Programme notices and queries may be sent using the Programme contact channel identified in the partner portal. We may send notices to your registered email address or through that portal.
9.6 These terms and related disputes are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights that apply by law.
